Each product andScience Kit is filled with Steve Spanglers unique blend of experiences that inspire wonder, boostcreativity, enhance problem-solving skills and make learning fun.Steve Spangler Science Affiliate Program Terms and Conditions: This agreement describes the terms and conditions for your participation in the Steve Spangler Science affiliate program. By participating in the program, an affiliate (hereinafter “you” or “affiliate”) have read this Agreement and agree to be bound to the requirements set forth below. Steve Spangler Science may modify this Agreement at any time and at our sole discretion. If any modifications are not acceptable to you, your only recourse is to terminate the Agreement. If you continue to participate in our affiliate program, your participation will be considered acceptance of any changes made. Steve Spangler Science reserves the right to refuse any site entry into its affiliate program, for any reason and any time and in its sole discretion. Sites that will not qualify for the Steve Spangler Science affiliate program include sites which:Promote illegal activities;Promote sexually explicit materials;Promote violence;Promote conduct or opinions which in the sole opinion of Steve Spangler Science would be inconsistent with its business values;Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, age, or any other State of Federally protected classification;Promote a coupon or discount that has not been approved by Steve Spangler Science; and/orInfringe or otherwise violate any copyright, trademark, or other intellectual property rights of Steve Spangler Science or its parents or sister companies. Steve Spangler Science grants to affiliate a nonexclusive, nontransferable, royalty-free (without right to sublicense) license to use and display, only during the term of this Agreement, Steve Spangler Science’s trademarks, solely for the purpose of linking to Steve Spangler Science’s website. Affiliate understands and agrees that the Steve Spangler Science’s trademarks and other intellectual property rights will remain the sole property of Steve Spangler Science’s and agrees not to contest the ownership of, nor misappropriate these trademarks and other intellectual property. Steve Spangler Science reserves all rights to control the use of the its trademarks and intellectual property, and affiliate shall not change or modify Steve Spangler Science’s trademarks or other intellectual property in any manner without prior written authorization from Steve Spangler Science. Expressly as granted in this Agreement, affiliate shall have no other rights of any kind whatsoever in the Steve Spangler Science trademarks or other intellectual property or in Steve Spangler Science’s website. Upon termination of this Agreement, all licenses granted to affiliate shall automatically terminate. Steve Spangler Science prohibits our affiliates from bidding on our Trademark Terms without our prior, express written permission. The phrase “Trademark Terms” includes but is not limited to Steve Spangler Science’s brand name, combinations of our brand name, renditions, derivatives and inferences to thereof. It also includes any other common law or registered trademark rights we own for any products or services we offer. If permission is granted from us on your behalf to the search engine(s), Trademark Terms may only be used as specified, and if no additional permitted uses are granted, may not be used in combination with the following words or synonyms: sale, outlet, free, clearance, wholesale, discount or percentage off etc. Participants in the Steve Spangler Science affiliate program also are prohibited from the following: You may not associate our brand/products with negative branding;You may not associate our brand/products with discount branding;You may not offer our brand/products at a discount or give them away for free;You may not copy our in house content word for word;You may not use any of our domains as your destination URL or display URL;You may not use any misleading or deceptive claims in advertising copy.Affiliates are solely responsible for following all federal, state and local laws, regulations and rules regarding advertising claims. You may not purchase or use domain names containing any of our trademarks, including domain names that combine our trademark with one or more additional words, letters, numbers, or other characters, or domain names containing any misspelling or other confusingly similar variation. This applies to using our trademarks and domains within search engines, social networks, sites, blogs, or in any other online or offline medium.Paid search engine marking is allowed, with the exception of trademark bidding. Bidding on trademark terms, trademark +, misspellings or any variation thereof is strictly prohibited. 2. Direct Linking is prohibited. The use of redirected pages and links to send a user to our site is prohibited. For example, you may not have a PPC link on a search engine that redirects the user to our site.3. Domain forwarding is prohibited - you may not purchase a domain and set it to forward directly to our site using your affiliate link.4. Only approved codes found in the Pepperjam Affiliate Account are allowed. 5. All affiliates must use the most up to date creatives from the Pepperjam Affiliate Account, and may not list expired promotions. 6. Orders are subject to reversals within 30 days of being processed. 7. Loyalty/Cash Back publishers are allowed into the program on a case by case basis. 8. Downloadable software is allowed on a case by case basis. All software must require affirmative click/action for cookie to be enabled. Please contact the program manager with any questions, concerns, or to provide a demonstration of software.9. Email affiliates are encouraged to be a part of the program and will be approved on a case by case basis. All email affiliates must be Can-Spam compliant. Please contact the affiliate manager for the most up to date creative and suppression list.Social Media is allowed on a case by case basis. You may not post your affiliate links on the merchant social media spaces. Please contact the program manager for specifications regarding social campaigns.Any affiliate found to be in violation of the above terms is subject to commission reversals and removal from the program. Affiliate agrees to indemnify, defend and hold harmless Steve Spangler Science and its officers, directors, employees, agents, successors and assigns from and against any and all losses, liabilities, damages, penalties and claims and all related costs and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) affiliate’s breach of this Agreement; (ii) any claim brought by a third-party based on conduct of affiliate or affiliate’s site(s); and/or (iii) affiliate’s violation of any Federal, State or local law, regulation or rule. This provision shall survive the termination of the Agreement. Affiliates are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. Affiliates have no authority to make or accept any offers or representations on behalf of Steve Spangler Science. Affiliates will not make any statement, whether on their sites or otherwise, that reasonably would suggest any such authority. This provision shall survive the termination of the Agreement. Steve Spangler Science makes no express or implied warranties or representations with respect to this affiliate program or an affiliate’s potential to earn income from the program. We make no representation that the operation of our website or the affiliate links will be uninterrupted or error-free and we shall not be liable for the consequences for any such interruptions or errors. This provision shall survive the termination of the Agreement. Steve Spangler Science will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, expenditures or data) arising in connection with this Agreement or the affiliate program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid to the affiliate under to this Agreement. This provision shall survive the termination of the Agreement. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. This Agreement may not be modified except by a writing signed by both parties. If any of the provisions of this Agreement are determined by a court to be unenforceable, they shall be severed from this Agreement, and the remaining provisions shall remain in full force and effect. This Agreement shall be governed by the laws of the State of Colorado without regard to conflicts of laws principles. By affiliate’s participation in this program, you hereby voluntarily submit to the exclusive jurisdiction of the State and Federal Courts located in Colorado, for all legal actions arising out of or relating to this Agreement. This provision shall survive termination of the Agreement.
